ARTICLE 1: APPLICABILITY
1.1 These Terms and Conditions apply to all offers and to all agreements entered into by Ecowings, with its registered office in Amsterdam, Postjesweg 244 and registered with the Chamber of Commerce under number 50527770.
1.2 Where reference is made to “buyer” in these General Terms and Conditions, this must be understood to mean any natural or legal person who wishes to enter into a purchase agreement with Ecowings and on whose behalf and for whose account goods are delivered. Two types of buyers are distinguished:
* consumers: private individuals who pay the selling price,
* resellers: companies registered with the Chamber of Commerce that pay the purchase price and resell the goods to consumers through their shop or webshop.
1.3 The provisions of these general terms and conditions can only be deviated from if and insofar as this has been expressly agreed in writing.
1.4 If the buyer also refers to (his) general terms and conditions, the buyer’s terms and conditions do not apply. This is only different if and insofar as the applicability of the buyer’s terms and conditions does not conflict with our general terms and conditions, then only the provisions of these terms and conditions apply. Any stipulation to the contrary in the buyer’s conditions does not affect the foregoing.
1.5 Ecowings has the right to change these General Terms and Conditions. For agreements already concluded, the conditions that were valid at the time of the conclusion of the agreement remain in force.
1.6 The General Terms and Conditions can be consulted at all times on the website www.ecowings.nl.
ARTICLE 2: AGREEMENT
2.1 The agreement between the buyer and Ecowings is concluded at the following time:
* for a consumer: if he/she has placed an order via the webshop and paid via the linked payment system, the acceptance of the order will be confirmed electronically to the buyer via email
* for a reseller: if he/she has placed an order by email with Ecowings and has received a confirmation from Ecowings by email.
2.2 As long as the receipt of the order has not been confirmed, the buyer can dissolve the agreement.
2.3 Ecowings reserves the right not to accept orders without stating reasons.
2.4 The buyer is deemed to have taken note of the general terms and conditions of Ecowings before entering into an agreement.
2.5 The buyer who provides customer data in the context of the agreement guarantees that it is correct, complete and up-to-date. The buyer has the obligation to immediately report inaccuracies in payment details provided or stated to Ecowings.
ARTICLE 3: DELIVERY AND PAYMENT
3.1 All Ecowings products are subject to retention of title until the order has been paid in full.
3.2 The order will be shipped as soon as possible. Products that are in stock are delivered within 2 weeks. If a delivery time within 2 weeks is not feasible, Ecowings will inform the buyer of this in good time and give the buyer the opportunity to dissolve the agreement or to agree on a new delivery time. Amounts paid must be refunded no later than 14 days after termination.
3.3 For new buyers, payment must be made in advance, so delivery will only take place after receipt of the amount due. This amount must be credited within 7 days after placing the order. If no payment has been received by Ecowings within this period, the order will lapse.
3.4 With regular buyers, i.e. buyers to whom Ecowings has already delivered, it can be agreed that payment can be made after delivery. The amount due must be credited within 7 days after delivery of the goods.
3.5 The amounts stated in the web shop include VAT, 21%, subject to printing and typesetting errors. Purchase prices excluding VAT are 21% with resellers according to a separate wholesale price list.
3.6 The delivery of the ordered products takes place to the delivery address specified by the buyer. Shipping costs will be charged to the buyer. The standard rates of POST-NL or DHL (whichever is the cheapest in the relevant situation) apply for this. The order can also be picked up by appointment.
3.8 Ecowings keeps the website as current as possible. However, it is possible that a product is no longer available. In this case Ecowings will contact you as soon as possible.
3.9 Offers are valid while stocks last.
3.10 Ecowings reserves the right to make partial deliveries.
3.11 Subject to variations in colour, type, text and/or price changes. All images of products, associated specifications, sizes and data are displayed as accurately as possible. The product(s) ultimately delivered to the buyer may deviate to a certain extent from these images or specifications in terms of color, size, etc. This does not mean that the product does not comply with the agreement. Obvious mistakes or errors in this regard are not binding on Ecowings.
3.12 Ecowings may terminate an order or refuse a customer without stating reasons.
ARTICLE 4: FORCE MAJEURE
4.1 If Ecowings is unable to fulfill its obligations as a result of powerlessness, those obligations will be suspended for the duration of the force majeure situation.
4.2 If the force majeure situation has lasted for 30 days, both parties have the right to terminate the agreement in whole or in part by means of to dissolve a written statement without being entitled to any (damage) compensation. Ecowings is, if applicable, obliged to refund the amount already paid to the buyer.
4.3 Ecowings and the buyer must inform each other in writing of a (possible) force majeure situation as soon as possible.
ARTICLE 5: PERSONAL DATA
5.1 Ecowings treats personal data of the customer in strict confidence and does not provide this data to third parties. See the Privacy Regulations on the website for this.
ARTICLE 6: RETURN PERIOD OR RIGHT OF WITHDRAWAL
6.1 If the delivered product does not meet the wishes of the buyer, the buyer can return it within 14 working days after receipt of the order, provided the following conditions are met:
* Notified in advance by email.
* The goods are returned to Ecowings within 14 days (calculated from the delivery date).
* The goods are in original condition i.e.:
– not worn
– not washed
– with attached cards
– article is unchanged. A defect/error has not been attempted to be rectified.
– item has been handled with care.
– operating instructions and instructions have been correctly followed.
* The goods are properly packed.
* The return shipment is sufficiently stamped.
6.2 If the above return conditions are met, Ecowings will refund the purchase amount, including first delivery costs, to the buyer’s account within 14 days.
6.3 The shipping costs for the return shipment are for the account of the buyer.
6.4 Return shipment is entirely at the risk of the buyer. Ecowings cannot be held liable for missing mail.
ARTICLE 7: WARRANTY
7.1 Ecowings guarantees that the products it supplies meet the legal requirements of usability, reliability and lifespan as reasonably intended by the parties to the agreement.
7.2 Insofar as possible, the buyer is obliged to check the delivered product(s) immediately upon receipt or have them checked. If it appears that the delivered product is wrong, defective or incomplete, the buyer must (before proceeding to return) these defects within 2 weeks after discovery, or after this should reasonably have been discovered. to report to Ecowings, by email at firstname.lastname@example.org, via the contact form or by telephone +31 (0)651077126.
7.3 Return of the products by post in (preferably) the original packaging, in the condition in which the buyer received it. That is, undamaged and undamaged. Costs of returning the products are at the expense of the Buyer.
7.4 If it appears that the delivered product(s) does not correspond to the order, Ecowings will replace or repair the delivered product(s) free of charge. The buyer cannot invoke the warranty referred to in paragraph 7.1 if the delivered product(s) have been exposed to abnormal conditions and/or the buyer has repaired and/or modified the delivered products himself or has had them repaired and/or processed by third parties.
ARTICLE 8: COMPLAINTS
8.1 Questions or complaints regarding Ecowings services and/or products can be sent by e-mail to email@example.com or by telephone on +31 (0)651077126 during office hours. Ecowings will respond to this in writing within 3 working days.
ARTICLE 9: LIABILITY
9.1 Ecowings cannot be held liable for any damage, whether physical, material or immaterial, that would be the result of faulty functioning or incorrect use of the products sold by us.
9.2 Ecowings cannot be held liable for damage, of whatever nature, that is the result of the internet site and/or decisions based on information from the website www.ecowings.nl.
ARTICLE 10: LAW
10.1 The relationships between Ecowings and the buyer are governed by Dutch law.
ARTICLE 11: DISPUTE RESOLUTION
11.1 All disputes of whatever nature related to/arising from an agreement between Ecowings and the buyer and deliveries made by Ecowings will be adjudicated by the competent court in the Netherlands.
